LEADPRO T&C

You are enrolling in a 3-Month Free Trial LeadPro™ (the Program).

Not all LeadPro™ features will be available during this Free Trial period. At the end of the 3-Month Trial, the Program can be converted to a fully developed, customized and functioning LeadPro™ under separate agreement. Programs not converted by the end of the 3-Month period will be locked by PriMedia.

Hosting and maintenance are included as part of the limited Program for the 3-Month period.

You will be required to create an account and specify a password to use certain services or features of the Program. Account holders must be at least 18 years of age and affiliated with a recognized business entity. The personal information (such as name, company information, photos etc.) that may be collected to create the Program may be used or shared within our company to improve the quality of our services.

PriMedia retains ownership of all proprietary applications and the original source code, and licenses their use by the client for the term of the service agreement. Proprietary applications may run from the secure PriMedia servers only. Applications may not be copied or transferred at any time.

PriMedia retains the right to delete or lock any Trial LeadPro™ account for any reason.

As the account creator, you can request that any account be deleted for any reason. PriMedia will comply with your request at its earliest availability.

You will not, directly or indirectly: reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of or included in the Program or any software, documentation or data related to the Program (“Software”); modify, translate or create derivative works based on the Program or any Software; or copy (except for archival purposes), distribute, pledge, assign or otherwise transfer or encumber rights to the Services or any Software; use the Program or any Software for timesharing or service bureau purposes or otherwise for the benefit of a third party; or remove any proprietary notices or labels.

You agree not to interfere with or disrupt the Program or the servers or networks connected to it, or disobey any requirements, procedures, policies or regulations of networks connected to the Program; (b) you agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purpose, any portion of the Program, use of the Program, or access to the Program; (c) you agree not to engage in any activity that would constitute a criminal offense or give rise to a civil liability; (d) you agree not to impersonate any person or entity, including, but not limited to, PriMedia, Inc. or any PriMedia, Inc. employee, or falsely state or otherwise misrepresent your affiliation with any person or entity; and (e) you agree not to interfere with any other user’s right to privacy, including by harvesting or collecting personally-identifiable information about users of the Program or posting private information about a third party. If PriMedia (in its sole discretion) should determine that you or your agents have acted inappropriately, we will terminate your account, prohibit you from using the Program and take appropriate legal action.

All text, graphics, photographs, trademarks, logos, icons, user interfaces, sounds, music, videos, artwork, software and computer code (collectively, “Content”), including but not limited to the “look and feel”, layout, design, structure, color scheme, selection, combination and arrangement of the Content present on the Program is owned by or licensed to us. Such Content is protected by copyright, trademark, trade dress and various other intellectual property and unfair competition laws.

Except with our express prior written permission or as permitted by applicable laws, you may not copy, distribute, reproduce, mirror, frame, publicly display, publicly perform, translate, create derivative works of, re-publish or transmit the Program (in whole or in part) in any way or through any medium for distribution, publication or any commercial purpose.

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, IN NO EVENT SHALL PRIMEDIA, INC., OR ITS AFFILIATED COMPANIES, BE LIABLE TO YOU FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER AND/OR DEVICE OR TECHNOLOGY FAILURE OR MALFUNCTION OR FOR ANY FORM OF DIRECT OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES BASED ON ANY CAUSES OF ACTION ARISING OUT OF USE OF THE PROGRAM OR ANY ALLEGED FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, OR DELAY IN SERVICE, OPERATION, OR TRANSMISSION OF THE PROGRAM, OR ANY ALLEGED COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OF PROPERTY, AND/OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF OR POSTING OF ANY RECORD, CONTENT, OR TECHNOLOGY, PERTAINING TO OR ON THE PROGRAM. YOU AGREE THAT THIS LIMITATION OF LIABILITY APPLIES WHETHER SUCH ALLEGATIONS ARE FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR FALL UNDER ANY OTHER CAUSE OF ACTION, REGARDLESS OF THE BASIS UPON WHICH LIABILITY IS CLAIMED AND EVEN IF PRIMEDIA, INC. OR AFFILIATED COMPANIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU ALSO SPECIFICALLY ACKNOWLEDGE THAT PRIMEDIA, INC. OR AFFILIATED COMPANIES ARE NOT LIABLE FOR ANY ACTUAL OR ALLEGED DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OF THE PROGRAM OR ANY OTHER THIRD PARTIES.

IF APPLICABLE LAW DOES NOT ALLOW ALL OR ANY PART OF THE ABOVE LIMITATION OF LIABILITY TO APPLY TO YOU, THE LIMITATIONS WILL APPLY TO YOU ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

We disclaim any and all liability of any kind for any unauthorized access to or use of your personally identifiable information. By accessing the Program, you acknowledge and agree to our disclaimer of any such liability. If you do not agree, you should not access or use the Program.

Indemnification. You agree to defend, indemnify and hold harmless PriMedia, Inc., its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of the use of the Program by you. PriMedia, Inc. reserves the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this section. In such event, you shall provide PriMedia with such cooperation as is reasonably requested by PriMedia, Inc.
